Governance Council in Crisis (CGC)
Through strategic analysis and planned actions, we create mechanisms to protect and overcome business crises, whether through management measures, business restructuring procedures (judicial and extrajudicial recovery, conciliations and mediations, centralized execution regimes), debt restructuring (bank debt, suppliers, service providers, labor debts, etc.), asset divestment, or even the sale of the company (totally or partially) through investors.
For these measures to succeed, when organizing a business restructuring project, it is advisable to establish a Crisis Governance Council (CGC). The purpose of this tool is to coordinate the company's activities through strategic planning with its stakeholders. The relationship with strategic creditors, the development of a short, medium, and long-term action plan, as well as operational and financial adjustments, are essential measures for the recovery of the business.
The Corporate Governance Committee (CGC) has a multidisciplinary character, and may include the participation of advisors, partners, administrators, managers, among others. The frequency of meetings is tailored to the company's needs, and the meetings are preceded by a specific agenda, the decisions of which are recorded in minutes.
As a key component of corporate reorganization, the CGC (Corporate Governance Committee) can be divided into two pillars: the first, linked to crisis management, with the discussion and implementation of actions to contain it (present). The second, if necessary, encompassing measures aimed at maintaining the company's activity, development, and competitiveness (future).
